Applies to: Device Native advertising, recommendation, click-routing, postback, and analytics services integrated into Motorola/Lenovo launcher and App Drawer surfaces.

These Moto Device Native Terms and Conditions ("Terms") explain the terms that apply to the Device Native service used in Motorola/Lenovo launcher and App Drawer surfaces. In these Terms, "Device Native," "we," "us," and "our" mean Device Native, Inc.

Motorola/Lenovo controls the Motorola device software, launcher, App Drawer, user interface, device settings, and related user-facing controls. Device Native provides advertising, recommendation, click-routing, measurement, and analytics services that support those Motorola/Lenovo surfaces. These Terms apply only to the Moto Device Native service and do not replace Motorola/Lenovo's terms, Motorola/Lenovo's privacy notices, app-store terms, advertiser terms, or the terms of any app, website, product, or service that a user may reach after tapping an ad or recommendation.

A separate written agreement between Device Native and Motorola/Lenovo governs the integration and commercial relationship between those companies. It is not part of these end-user Terms. These Terms concern only an end user's interaction with the Moto Device Native service and do not describe or change the commercial obligations between Device Native and Motorola/Lenovo.

1. The Moto Device Native service

The Moto Device Native service helps Motorola/Lenovo launcher and App Drawer surfaces show app recommendations, sponsored suggestions, ads, and related app-store or app-opening destinations. The service may include:

  • selecting eligible app recommendations or ads;
  • delivering configuration, ad metadata, and related content to Motorola device software;
  • helping route clicks to an app, app store, advertiser, or measurement partner;
  • measuring impressions, clicks, conversions, revenue, service performance, and reliability;
  • detecting fraud, abuse, invalid traffic, and broken redirects; and
  • creating aggregate reporting for Device Native, Motorola/Lenovo, advertisers, and measurement partners.

Device Native is not the manufacturer of the Motorola device, the operator of Motorola/Lenovo device software, the operator of the app store, or the publisher of third-party apps advertised or recommended through the service.

2. Sponsored content and recommendations

Some suggestions shown through the Moto Device Native service may be paid placements, sponsored recommendations, or advertisements. Other suggestions may be non-sponsored app recommendations.

Device Native may provide ad metadata or service rules that help Motorola/Lenovo display sponsored content. Motorola/Lenovo controls the final user interface and display surfaces on the device. Sponsored content should be understood as advertising or paid promotion, not as an independent editorial review by Device Native.

Device Native does not guarantee that any recommendation, ad, app, app-store page, offer, price, rating, availability, or claim is accurate, complete, current, or suitable for a particular user. App details, prices, availability, permissions, subscriptions, in-app purchases, and content can change after a recommendation or ad is shown.

3. No direct user account or purchase from Device Native

Device Native does not require a Device Native account for the Moto Device Native service and does not charge users a fee for using the Moto Device Native service.

The Moto Device Native service does not create a Device Native wallet, balance, reward, credit, rebate, or other monetary benefit for users.

If a user chooses to install an app, buy a product, start a subscription, make an in-app purchase, or otherwise interact with a third-party destination, that transaction is between the user and the relevant app store, advertiser, app developer, merchant, or other third party. Device Native is not responsible for third-party charges, subscriptions, refunds, cancellations, support, app behavior, app content, app permissions, or user accounts.

4. Third-party apps, app stores, advertisers, and destinations

When a user taps an ad or recommendation, the user may leave the Motorola/Lenovo surface and be directed to an app, app store, website, advertiser, measurement partner, or other third-party destination.

Third-party destinations are controlled by their respective operators. Their terms, privacy policies, permissions, charges, subscriptions, cancellation rules, refunds, security practices, and content policies apply to the user's interaction with them. Device Native does not control and is not responsible for third-party apps, app stores, websites, advertisers, claims, products, services, malware, security practices, privacy practices, support, refunds, or content.

Device Native may route or measure a click, but routing or measurement does not mean Device Native endorses, guarantees, or assumes responsibility for the third-party destination.

5. User controls

Available controls depend on the device, Android version, Google Play services availability, Motorola/Lenovo software, regional settings, and advertiser or app-store controls.

Users may be able to manage relevant settings through Android or Motorola/Lenovo controls, including advertising settings, app permissions, launcher settings, usage access, notification access, app data controls, or other device settings. After a user leaves a Motorola/Lenovo surface, the relevant third-party app, app store, advertiser, or measurement partner may provide its own controls.

6. Privacy

Device Native's handling of information for the Moto Device Native service is described in the Moto Device Native Privacy Policy. The Privacy Policy explains what information Device Native receives, what Device Native does not collect, how Device Native uses service data, and how to contact Device Native about privacy requests.

7. Acceptable use

Users may use the Moto Device Native service only as made available through Motorola/Lenovo device software and only in compliance with applicable law and these Terms.

Users must not:

  • access or use the service in a way that violates applicable law or third-party rights;
  • interfere with, disrupt, overload, test, scan, or attack Device Native systems;
  • attempt to bypass, manipulate, or falsify ad measurement, click routing, fraud prevention, reporting, or attribution;
  • use bots, scripts, emulators, automated traffic, or other artificial means to generate impressions, clicks, installs, conversions, or measurement events;
  • reverse engineer, decompile, disassemble, copy, modify, or create derivative works from Device Native software or systems, except to the extent applicable law expressly allows; or
  • use the service to build, train, benchmark, or improve a competing advertising, recommendation, click-routing, or measurement service.

Device Native may investigate suspected misuse and may block, filter, suspend, or disregard traffic, clicks, conversions, or other events that Device Native reasonably believes are invalid, fraudulent, abusive, unlawful, or harmful to the service.

8. Device Native intellectual property

Device Native and its licensors own the Moto Device Native service, SDK, APIs, software, documentation, trademarks, logos, content, data models, selection logic, routing logic, measurement systems, and related intellectual property, except for third-party content and materials owned by others.

These Terms do not transfer any ownership rights to users. Users receive only the limited ability to interact with the Moto Device Native service as it is made available through Motorola/Lenovo device software.

9. Service availability and changes

The Moto Device Native service may change over time. Device Native may update, modify, suspend, limit, or discontinue all or part of the service, including supported ad formats, recommendation logic, click routing, measurement features, integrations, partners, and reporting.

The service may be unavailable, delayed, incomplete, or inaccurate due to network conditions, device settings, Motorola/Lenovo software behavior, app-store behavior, third-party advertiser systems, partner outages, security measures, maintenance, fraud prevention, geographic restrictions, or other causes.

Device Native does not guarantee that the service will always be available, uninterrupted, error-free, secure, compatible with every device or market, or able to route every click to a particular destination.

10. No professional advice or emergency use

The Moto Device Native service provides app recommendations, sponsored suggestions, routing, and measurement services. It does not provide legal, financial, medical, safety, emergency, or other professional advice. Users should not rely on the service for emergency communications or time-sensitive safety needs.

11. Service disclaimer and mandatory rights

To the extent permitted by applicable law, the Moto Device Native service is provided "as is" and "as available." Device Native does not promise that the service will always be available or error-free, that a recommendation or ad will be relevant or suitable for a particular user, or that a third-party app, offer, price, claim, or destination will meet a user's expectations.

Nothing in these Terms excludes, restricts, or changes any guarantee, remedy, liability, or other right that cannot lawfully be excluded or changed. Users may have mandatory rights under the laws of the place where they live.

12. Governing law and disputes

These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-law rules, except where applicable local law requires otherwise.

Before filing a formal claim, users are encouraged to contact Device Native at privacy@devicenative.com so the parties can try to resolve the issue informally.

To the extent permitted by applicable law, any court proceeding arising out of or related to these Terms or the Moto Device Native service will be brought in the state or federal courts located in San Mateo County, California, and each party consents to the jurisdiction and venue of those courts.

Nothing in this section limits rights that a user has under mandatory local consumer protection law, including the right to bring claims in a user's local courts where applicable law requires that option.

13. Changes to these Terms

Device Native may update these Terms from time to time. If Device Native makes material changes, Device Native will update the "Last updated" date above and make the revised Terms available through this page or another appropriate notice mechanism.

Continued availability or use of the Moto Device Native service after updated Terms are made available means the updated Terms apply, except where applicable law requires a different notice or consent process.

14. Severability and interpretation

If any part of these Terms is found unenforceable, the rest of the Terms will remain in effect to the maximum extent permitted by law. The unenforceable part will be interpreted or limited to the minimum extent necessary to make it enforceable, if applicable law allows.

Section headings are for convenience only. The word "including" means "including without limitation."
